Position Overview

TZLA is searching for a remote-based Legal Lead, reporting to the Legal Manager, to support our legal operations across governance, contracts, compliance, and records management. This is a builder role: you will create and maintain documentation systems from the ground up (templates, naming conventions, versioning, and clean archives). You will keep our legal work organized, auditable, and easy for leadership to act on, without slowing execution. The Legal Lead will participate in a variety of projects, both internal (for example, agreements between the PMA and members) and external (for example, contracts with suppliers). TZLA operates through private membership associations and faith and ministry aligned governance. This role supports private trust administration and records, so comfort working inside a private-association framework and an uncompromising standard for confidentiality are essential.

Key Responsibilities

1) Contracts and Document Support

  • Draft, format, and version-control common legal documents (MOUs, service agreements, contractor agreements, NDAs, policy acknowledgements) using approved templates and review notes from leadership or external counsel.
  • Maintain a clean, searchable contract archive including:
  • executed versions
  • working drafts
  • redlines and comparison notes
  • key obligations and renewal dates
  • Create short, accurate summaries of agreements for internal alignment (scope, term, deliverables, confidentiality, termination, renewal, and key compliance clauses).

2) Governance and Entity Records

  • Maintain organized governance records (bylaws, membership agreements, resolutions, meeting notes, signoff records, and related attachments).
  • Support preparation for governance events by drafting packets, assembling exhibits, and ensuring required documentation is available and consistent.
  • Keep entity documentation current and easy to retrieve for time-sensitive requests.

3) Compliance and Risk Hygiene (Operational)

  • Maintain a living checklist of recurring legal admin and compliance tasks (renewals, annual filings, required notices, internal attestations) as directed by leadership.
  • Flag gaps early (missing signatures, missing exhibits, unclear scope language, inconsistent versioning) and propose the fastest correction path.
  • Support adoption of tax-exempt compliance language standards in documents and communications where applicable.
  • Escalate any request that could violate legal or ethical standards (including fraud, breach of fiduciary duty, etc.) to Head of Operations immediately; no retaliation for good-faith escalation.

4) Evidence, Research, and Case Support

  • Conduct focused legal and regulatory research with clear citations, short summaries, and recommended next steps for leadership review.
  • Assemble evidence packets for disputes, investigations, or escalations, including timelines, communications exports, and labeled exhibits.
  • Maintain confidentiality and access hygiene for sensitive files at all times.

5) Systems, Templates, and SOP Discipline

  • Maintain and improve reusable templates and checklists for the legal workflow (intake form, redline checklist, signature packet, records naming conventions).
  • Own the legal work intake and triage pipeline (request capture, prioritization, and status visibility) so requests are handled in the right order and nothing stalls.
  • Set and enforce the team's operating standards for legal documentation (naming conventions, version control rules, required metadata, and definition of "final").
  • Train and onboard internal collaborators on the legal workflow (how to submit requests, how to draft using templates, and how to package items for review by leadership or external counsel).
  • Write or update SOPs for recurring legal operations so work can be delegated and audited.
  • Keep Notion pages clean and correctly labeled so information is findable under pressure.

Required Skills and Experience

  • 3+ years of paralegal experience (or equivalent legal operations experience) in a fast-moving environment.
  • Excellent written English with strong command of grammar, formatting, and precision.
  • Comfort with strict confidentiality and sensitive information handling.
  • Strong organizational discipline: you think in folders, labels, naming conventions, and version history.
  • Able to handle multiple concurrent requests with clear prioritization and predictable follow-through.
  • Comfortable working with lawyers and non-lawyers, translating legal detail into clean internal notes.
  • High attention to detail, especially around dates, definitions, signatures, attachments, and cross-references.

Preferred Skills

  • Experience supporting nonprofit, membership-based, or mission-driven organizations.
  • Familiarity with US entity governance and contract administration.
  • Experience with Mexico workflows is a plus.
  • Spanish fluency is a plus (written and spoken).
  • Comfort working within private membership association and ministry or trust based governance models, and willingness to learn and apply a proprietary internal natural-law drafting and review framework for document QA.

Tools and Tech Stack

  • Notion: Document management, SOPs, decision logs, and request tracking
  • Google Workspace: Docs, Sheets, Drive organization
  • Communications: Telegram, email
  • E-sign and PDFs: Comfortable preparing signature packets and clean PDF exports (tool may vary)
  • Internal drafting standards and review assistant: a set of internal checklists and AI-powered document review prompts based on TZLA's natural-law framework. You will use it daily to keep agreements, minutes, and records on point and compliant.

KPIs You Will Own

  • Turnaround time for document support requests (measured weekly)
  • Contract archive completeness (executed docs and attachments correctly filed)
  • Version control accuracy (no missing latest versions, no ambiguous drafts)
  • Reduction in "lost time" searching for legal records (measured by internal feedback)
  • On-time completion of recurring legal admin tasks assigned by leadership
